FROM A DESIGNATED MENALDI INC BROKER/_____________AND REFERAL AGENT US1REALESTATE,A FLORIDA BROKER OR COBROKER FROM ANOTHER STATE OF ______________WILL PROVIDE INFORMATION ON THS CERTAIN REAL ESTATE FOR SALE .ALL INFORMATION WILL BE PROVIDED PERTAINING TO THEESE MOBILE HOME PARK UPON SIGNATURE OF THIS AGREEMENT.

1.(A) THAT ANY INFORMATION PROVIDED IS SENSITIVE AND CONFINENTINAL ,AND THAT DISCLOSURE OF THE INFORMATION TO OTHER MAY BE DAMAGING TO THE BUISNESS AND IT OWNERS.
B.)NOT TO DISCLOSE ,FOR A PERIOD OF 18 MONTH FROM THE DATE I/WE SIGN THIS NON-DISCLOSURE AGREEMENT ,ANY INFORMATION REGARDING THE SALE OF THIS BUISNESS TO ANY OTHERPARTIES EXCLUDING THOSE PARTIES SPECIFICALLY INVOLVED IN THE TRANSCTION ITSELF CONSISTING OF PROSPECT'S SOLE ADVISORS ,GOVERMENT AND MUNICIPAL EMPLOYEES,PROPRETY INSPECTORS,ATTORNEY,ACCOUNTANTS,AND PROSPECT PARNTER ,MEMBERS,STAKEHOLDERS AND INVESTOR FOR THE PROSPECT SLE PURPOSE IN SEEKING INFORMATION ABOUT THE BUISNESS AND/OR REALESTATE IS TO PURCHASE SAME
C.)NOT TO CONTACT THE BUISNESS EMPLOYEES,SUPPLIERS OR CUSTOMERS EXCEPT THROUGH THE DESIGNATED BROKER OR OWNER ARTHUR MENALDI. ALL CORRESPONDENCE,INQUIRE S,RELATING TO THE PURCHASE OF THIS MOBILE HOMEPARK WILL BE CONDUCTED EXCLUSIVELY THROUGH THE DESIGNSTED BROKER OR OWNER .
D.)NOT TO CIRCUMVENT THE BROKER IN ANY WAY WITHOUT COMMUNICATING THROUGH THE DESIGNATED BROKER ,AND REFERAL AGENT US1EALESTATE FLORIDA.YHE PROSPECT BE PERSONAL LIABILE TO BROKER S FOR PAYMENT OF REAL ESTATE COMMISSIO FEE.
2.I/WE RECIEVE AND I /WE AGREE TO INDENIFY AND HOLD SELLER AND BROKER AND IT AGENT HARMLESS FROM ANY CLAIMS OR DAMAGES WHICH MAY OCCUR BY REASON OF DISCLOSURE WITH RESPECT TO THE PURCHASE AND SALE OF THE MOBILE HOME PARK THAT WILL BE NAMED UPON THE RETURN OF THIS AGREEMENTS .
3.__________________________________AND ASSOCIATIES AGREE TO COMPENSATE THE DESIGNATED BROKER 3 % CONSULTANT OR COMMISSION FEE OF THE TOTAL PRICE AT CLOSING OF THE MOBILE HOME PARK.THEDESIGNATED BROKER OR CONSULTANT WILL PAY A REFERAL . FEE ,US1REALESTATE .
4.IN THE EVENT THAT PROSPECT DISCLOSED THE AVAILABILTY OF SAID DESIGNATED BUISNESS AND /OR REALESTATE TO ANY 3RD PARTIES AND THIS THIRD PROPRETY PURCHASED THE BUISNESS WITHOUT THE AGENT THEN THE PROSPECT ,IN ADDITION TO THE REMIDIES SPECIFIED HEREIN ABOVE ,WILL ALSO BE RESPONSIBLE FOR THE PAYMENT OF AGENTS. FEE NOT TO EXCEED 3% OF THE PURCHASE PRICE AND LEGAL FEE..
5 .OPTION TO PROSPECTINITINAL YES ____OR NO________IF ANY OTHER PROPRITIES ARE REVEAL TO THE PROSPECT BY THE AGENT THROUGH WRITTEN COMUNICATION OR FAXES OR EMAIL,AFTER THE ORIGNAL DISCLOSURE HAS BEEN SIGN ,YHEN ALL TERMS AND CONDITION OF THIS DISCLOSURE AGREEMENT APPLIES.THE AGENT S MAY FAX EMAIL THE ADDITIONAL PROPERTIES TO THE DISCLOSURE WITHOUT PROSPECT INITIALING OR RESIGNING THE CHANGE.
I/WE ACKNOWLEDGE THAT I/WE HAVE RECIEVE AN EXACT COPY OF THIS AGREEMENT AND THAT I/WE HAVE READ THIS AGREEMENT CAREFULLY AND FULLY UNDERSTAND IT.
